Latham & Watkins Advises H2B2 Electrolysis Technologies in Business Combination With RMG Acquisition Corporation III

H2B2 Electrolysis Technologies, Inc. (H2B2), a global green hydrogen platform that provides bespoke integrated solutions across the hydrogen value chain, and RMG Acquisition Corp. III (Nasdaq: RMGC) (RMG III), a publicly-traded special purpose acquisition company, have announced that they have entered into a definitive agreement to take H2B2 public via a business combination.

Latham & Watkins LLP advises H2B2 in the transaction with a corporate deal team led by Houston partner Ryan Maierson and Houston counsel Thomas Verity, with associates Jane Ehinmoro, Monika Kluziak, Zainab Hashmi, and Jacob Kempf. Madrid partner Ignacio Gómez-Sancha and Madrid counsel Luis Manuel Lozano, with associate María Domingo advised on Spanish corporate matters. New York associates Shawn Quinn and Nick Gonzalez advised on capital markets matters.

Advice was also provided on US tax matters by Houston partners Tim Fenn and Jim Cole, with associate Christine Mainguy; on Spanish tax matters by Madrid partner Iván Rabanillo, with associates Juan Rodríguez and Ana Serrano; on Spanish public law matters by Madrid partner José María Alonso; on US employment matters by Los Angeles counsel Julie Crisp, with associate Jordan Barnes and Viva Jerónimo; on Spanish employment matters by Madrid partner Naiara Rodríguez-Escudero, with associate María Goñi; on intellectual property matters by New York partner Jeffrey Tochner, with associate Sebastian Moss; on antitrust matters by Washington, D.C. partner Jason Cruise and Frankfurt partner Max Hauser; on HSR Act matters by Washington, D.C. counsel Joseph Simei; on compliance matters by London partner Nathan Seltzer, with associate Jay Winkelman; on CFIUS matters by Washington, D.C. partner James Barker; on sanction matters by Washington, D.C. counsel Ruchi Gill, with associate Lindsay Kenney; on environmental matters by Los Angeles/Houston partner Joshua Marnitz; on data privacy/cybersecurity matters by Houston counsel Robert Brown; and on real estate matters by New York counsel Shira Bressler.
