Latham & Watkins Advises RMG Acquisition Corp. SPAC in Merger with Romeo Power Technology to Create a Combined Company with a Value in Excess of $1.33 Billion

Romeo Power Technology (Romeo Power), an industry leading energy technology company focused on designing and manufacturing lithium-ion battery modules and packs for commercial electric vehicles, and RMG Acquisition Corp. (RM) (NYSE: RMG), a special purpose acquisition company, have announced a definitive agreement for a business combination that would result in Romeo Power becoming a publicly listed company. Upon closing of the transaction, the combined company will be named Romeo Power and is expected to remain listed on the NYSE and trade under the new ticker symbol “RMO.”

Latham & Watkins LLP represents RMG in the transaction with a M&A deal team led by New York partner David Allinson, with associates Brad Guest, Eric Czubiak, and Julia von Türk, and a capital markets deal team led by Houston partner Ryan Maierson, with associates Om Pandya, Paul Robe, and Trevor Bossi. Advice was also provided on tax matters by New York partner Lisa Watts and Washington, D.C. partner Andrea Ramezan-Jackson, with associate Eli McCrain; on employee benefits and compensation matters by Washington, D.C. partner Adam Kestenbaum, with associate Nathaniel Hsieh; on intellectual property matters by New York partner Steven Betensky and Washington, D.C. counsel Kieran Dickinson, with associates Caroline Herald and Mohammad Akhavannik; on environmental matters by New York partner Jean-Philippe Brisson and New York counsel David Langer, with associate Benjamin Einhouse; on real estate matters by Chicago partner Robert Buday, with associate Dustin Paige; on compliance matters by Washington, D.C. partners Les Carnegie and Douglas Greenburg, with associates Natalie Rao and Cassie Martin; and on antitrust matters by Washington, D.C. partner Farrell Malone and counsel Peter Todaro.
